The Department of Business Development Order No. 1/2024 in accordance with the Ministerial Regulation establishes the Company Partnership Registration Office to ensure the accuracy and consistency of registration processes when the transaction value exceeds 5,000,000 baht for i) company registration, ii) capital increase, and iii) mergers of partnerships and limited companies. The new requirements will enter into force from 1 July 2024.
The order introduces additional requirements for detailed supporting documents in the three cases mentioned above. Companies must submit bank-issued documents confirming payment receipt and a confirmation letter from a managing partner or director. If these documents cannot be provided due to the foreign status of directors or investment promotion permissions, the registrar may accept provisional registration with a 15-day period for submitting the required evidence. Additionally, documents must be provided when shares are paid with property or labor, including ownership confirmations and relevant contractual evidence.
Failure to submit additional evidence within the specified timeframe will result in a note on the company's certificate, which can be canceled upon submission of the required documents or capital reduction.
